Deal Stalled in Legal? Pre-Screen Sales Contracts First
AgentLeverage Team
4/6/2026
The deal is done. The customer is excited. Then the MSA sits in legal, redlines take a week, and the deal goes cold.
Pre-screen the sales contract before it hits the queue. Flag non-standard clauses yourself, or with a careful DIY prompt. Legal still owns the call.
AgentLeverage does not currently ship a live Contract Analyzer. This page is pre-screen advice. It is not a clause extractor, not legal advice, and not a certified legal record.
Why sales contract review stalls
Legal is conservative for a reason. Many of the files in the queue are still standard MSAs, order forms, and service agreements. The stall is often the queue, not the negotiation.
A first pass before legal sees the file can mark what is off-template. Legal still reads the clauses that matter.
What a pre-screen actually is
Not a live AgentLeverage contract run. A checklist you run on the PDF, or a careful DIY prompt, before you escalate.
Before you send it to legal
Search the MSA, order form, or SOW for:
- Unlimited liability, or a missing liability cap
- Unusual payment terms, net windows, or auto-renewal
- IP ownership that does not match the deal you sold
- Missing limitation of liability or warranty disclaimers
- License scope, term, pricing, and renewal that do not match the quote
Write a short issue list. Legal then sees the file plus the flags, or only the file if nothing is off-template.
You still review. Legal still owns the call.
When the customer sends redlines
Ask a DIY prompt, or do it by hand:
- What changed vs your standard template
- Which changes are commercial vs cosmetic
- What the business impact is if you accept
Then read those clauses in the source. A summary is not the signed file.
Deal notes and handoff recaps
When the call is done, the handoff to implementation or success needs license scope, term, pricing, renewal, owners, and special provisions.
If you already have notes or a transcript, Meeting Summarizer returns a recap, decisions, owners, and action items. Guest runs are free (5/day). It accepts TXT, DOCX, VTT, and SRT. It does not take a scanned MSA PDF, and it does not transcribe audio. You still review the recap before you send it.
That is recap and notes, not clause review.
If the file is the sales-call recording and it still says Speaker 1, Speaker Separation labels each voice. Guest runs are free (2/day). You rename Speaker 1 and review overlapping turns. That is a working labeled transcript, not a certified record, and not a contract review.
If the job is a first-pass recap of pasted contract text or intake notes, not a clause extractor: how to summarize legal documents first, then read the clauses
Sample workflow (no live contract analyzer)
- Customer sends the executed or redlined MSA
- Search the PDF for liability, payment, IP, renewal, and warranty language, or paste sections into a DIY prompt and ask for those flags
- Read the flagged clauses in the source
- Decide: accept, escalate to legal with the issue list, or go back to the customer
- If the handoff is notes from the call, recap them. That is not the legal review.
Do not upload the signed MSA to a tool we do not ship.
What you still review
A first pass is triage. It does not sign, file, or replace counsel.
Check before you escalate or close:
- Dollar amounts, dates, and party names
- Liability, indemnification, and renewal language
- Whether the quote and the order form match
- Whether the file belongs in a recap tool (a scanned MSA does not)
- Whether the stakes need a lawyer, not a checklist
If you are comparing affordable first-pass contract review, not looking for a live AgentLeverage contract run: what those tools do, and what you still review
Frequently asked questions
What is sales contract pre-screening?
A first pass on the MSA, order form, or SOW before legal sees it. You flag non-standard clauses and write a short issue list. Legal still owns the call. You still review.
Does AgentLeverage ship a live Contract Analyzer?
No. Contract Analyzer is not an enabled tool. After the sales call, Meeting Summarizer can recap notes (guest runs are free, 5/day). That is not contract review.
Can I pre-screen a sales contract without a lawyer?
For a standard MSA or order form, a checklist or DIY prompt can mark what is off-template. That is not legal advice. Escalate when the dollars or the terms are unusual.
Can Meeting Summarizer review the MSA PDF?
No. It recaps pasted notes or a transcript. It does not ingest a scanned contract, flag clauses, or compare redlines to your template. Meeting Summarizer does not transcribe audio.
Is this legal advice or a certified review?
No. Not legal advice. Not a certified legal transcript. Legal still owns the call. You still review.
Getting started
On the next deal that is about to sit in legal:
- Search the MSA for liability, payment, IP, renewal, and warranty. Open those pages.
- Write the issue list. Send it with the file, or send the file alone if nothing is off-template.
- If you only have call notes, try Meeting Summarizer — guest runs are free (5/day). Recap, decisions, owners. That is not a contract analyzer.
You still review. Legal still owns the call. We do not ship a live Contract Analyzer.
